TERMS AND CONDITIONS OF USE

This document sets forth the terms and conditions applicable to the use of the services offered through the Pai.az web platform (hereinafter referred to as the "Platform" or "Pai.az"), operated by "Enhance Azerbaijan" Limited Liability Company (TIN: 1703852711, registered address: 5 Neftchi Gurban Abbasov Street, Sabail District, Baku).

By accessing or registering on the Platform, the User confirms that they have read, understood, and legally agreed to these terms and undertake to comply with them. This agreement carries the same legal force as a physically signed contract.

You are requested and required to carefully read and comply with these Terms and Conditions before using our services.

Platform / Pai.az - The intermediary party that acquires a Property, reconstructs it using funds collected from Investors, and subsequently disposes of it, distributing the resulting profit among Investors after deducting its service fee; as well as the website operated for these purposes.

Property - A residential house or apartment selected by the Platform based on specific criteria and intended for reconstruction.

Company - The legal entity that the Platform and Investors participate in, that holds ownership rights over the Property, and on whose behalf all related processes are carried out. Management of the Company belongs to the Platform.

Investor - A fully capable individual who participates in the Company by investing funds, thereby acquiring entitlement to a proportional share of the profit generated from the disposal of the reconstructed Property, in accordance with the agreed terms.

User - Any Investor or other individual who uses the Platform or the services provided through it.

Cycle - The unified period commencing with Investors joining the Company and covering the acquisition, reconstruction, disposal of a Property, and distribution of profit, ending with the withdrawal of Investors from the Company.

Reconstruction - Improvement of the Property's structure, interior design, and other technical features financed through the Investors' contributions.

OTP (One-Time Password) - A one-time verification code sent to the User's mobile number during registration.

To use the Platform, the User must provide their first name, last name, and mobile phone number.

Once the information is entered, registration is completed after the OTP sent to the User's mobile number is correctly submitted.

The User is responsible for the accuracy of the information they provide. Incorrect information may lead to denial of service or account suspension.

The User is responsible for maintaining the confidentiality of their account and password. Third parties must not be allowed access to the account.

Pai.az selects a Property based on specific criteria and reconstructs it through a Company in which both the Platform and the Investors participate, using funds invested by the Investors.

The difference between the Property's initial purchase price and the price at which it is sold after reconstruction—after deducting expenses, taxes, and other mandatory payments—constitutes the profit.

Profit is distributed between Pai.az and the Investors proportionally to the investment amount and in accordance with the agreed terms.

Once the Property is sold and profit is distributed, Investors exit the Company and the initial Cycle is completed.

Investors may choose to participate again in subsequent Cycles.

The procedures, terms, amounts, and other details of payments are specified on the website and, in the future, in the mobile application.

All payment transactions are conducted in accordance with applicable legislation and in Azerbaijani Manat (AZN).

Each party bears full liability for damages caused to the other due to their fault.

The parties acknowledge that the timeframe for disposal of the Property does not depend solely on the Platform's will, and the Platform is not liable for delays in the sale of the Property.

The Platform is responsible for providing accurate information about the reconstruction plan and refraining from any fraudulent activity in reports. The Platform undertakes to act diligently during the disposal of the Property.

Users are responsible for the accuracy of the information they provide during registration. The Platform is not liable for damages resulting from incorrect data entry or sharing of account information with third parties.

A User who wishes to become an Investor must comply with all required documentation procedures, provide necessary information on time, and avoid payment delays. Otherwise, the Platform may refuse to involve the User as an Investor.

After profit distribution (i.e., completion of a Cycle), each Investor undertakes to exit the Company and to participate diligently in all necessary documentation (e.g., signing charter decisions). Any conduct that delays or obstructs the process is prohibited. An Investor who violates this and causes delays or damage agrees to pay a penalty of 50,000 AZN (or a higher amount if the actual loss exceeds this penalty).

The Platform is responsible for the management of the Company, documentation, and distribution of profit. The Platform is also responsible for payment of tax withheld at the source during profit distribution.

The Platform collects the following information about Users:

• First name

• Last name

• Phone number

Personal data is collected solely for identification purposes. Personal data may not be transferred, sold, or altered without the User's consent. Data may be shared with third parties only in the following cases:

• With partner technology providers involved in service delivery (e.g., banks, payment processors);

• With government authorities when required by law.

Upon deletion of a User's account, all associated personal data is destroyed.

A User may request deletion of their personal data at any time.

The Platform guarantees full compliance with legal requirements concerning the protection of personal data.

The application uses cookie files to improve user experience.

Cookies may be limited through browser settings; however, certain features may not function properly if restricted.

The following actions are strictly prohibited:

• Any behavior that could harm the Platform or other Users;

• Fraudulent, deceptive, or misleading actions intended to secure additional profit or for any other purpose;

• Unauthorized interference with the system;

• Use of the application for illegal purposes;

• Use of bots, scrapers, or other harmful automated technologies.

Users have the right to delete their account from the application. Once deleted, an account cannot be restored.

Users may re-register at any time after deleting their account.

Following account deletion, all associated data and personal information are destroyed.

Users may be blocked or removed without prior notice for sharing inappropriate or unethical content, violating these Terms and Conditions, acting against the interests of the Platform or other Users, or expressing intent to join as an Investor at least twice but withdrawing or disrupting the process.

These Terms and Conditions are governed by the legislation of the Republic of Azerbaijan.

Disputes are to be resolved first through mutual agreement. Failing that, they shall be referred to the competent courts of the Republic of Azerbaijan.

Each User is deemed to have accepted all provisions of these Terms without reservation.

The parties retain the right to pursue legal remedies concerning obligations and liabilities arising under these Terms.

These Terms and Conditions constitute the complete agreement between the Parties and supersede all prior oral or written agreements or representations.

If any provision of these Terms is deemed unenforceable or invalid, it shall be limited or removed to the minimum necessary extent, and the remaining provisions shall remain fully effective.
